Terms of Service
Please read these Terms carefully. They limit our responsibility to you. In particular: SLSBMB AI is sold only for business and professional use, never to consumers; payments are final and non-refundable subject to the limited corrections and mandatory rights in the Refund Policy; the Service and everything it produces are provided "as is", with no guarantee of any result; you authorise and are responsible for your campaigns, including automated campaigns, and their legality; campaign claims and defence costs are allocated to you; our liability is excluded or capped as set out below; and Hong Kong law and the Hong Kong courts govern any dispute.
1. Who we are and what these Terms cover
SLSBMB AI is operated by SLSBMB Limited, a limited company incorporated in Hong Kong ("SLSBMB", "we", "us"). Your service contract is with SLSBMB Limited. These Terms govern our free and paid websites, workspace, PROXY interview and business brief, AI Outreach Playbook, AI Contacts, Sending Engine, SLSBMB credits and related support (together, the "Service"). The Service was previously called Blackglass, and some products had other names. A name change does not replace the agreement accepted for an earlier order.
The Refund Policy, Acceptable Use Policy, Outbound Compliance Policy, Contact Sourcing and Suppression Policy, Data Processing Terms and Crypto Payment Terms form part of these Terms.
Mandatory law and any applicable mandatory data-transfer clauses take priority. Subject to that priority, a separately signed agreement overrides these Terms only on the matters it expressly changes. The Data Processing Terms govern processing of personal data on your behalf; the Refund Policy governs payment corrections, cancellation and refunds; and the Contact Sourcing and Suppression Policy governs contact pricing and settlement. These Terms govern other matters. The commercial liability limits apply between you and SLSBMB to the extent lawful, including under the Data Processing Terms, but do not override mandatory transfer clauses or rights that law does not permit us to restrict.
The Privacy Notice, Security, Subprocessors and Providers, and Cookie and Landing Analytics Notice describe our practices and the safeguards incorporated by the Data Processing Terms. Our service questions page explains these documents without changing them.
2. Business and professional use only
You may use the Service only for business or professional purposes, such as selling, fundraising, partnerships, hiring, press, sourcing, research or career outreach carried out in a professional capacity, and never for personal, family or household purposes. By using the Service or placing an order you confirm that you are at least 18 years old; that you act for a business or in your trade, business or profession and not as a consumer; that you have authority to bind the business you name; that the information you give us is accurate and complete; and that neither you nor your business is the subject of sanctions or located in a country or territory subject to comprehensive sanctions. If you use the Service for an organisation, "you" means that organisation and the individual using the Service.
If mandatory law nevertheless treats a transaction as a consumer transaction, its non-excludable rights apply. You request immediate performance after payment; any loss of a cancellation or withdrawal right applies only when all conditions required by that law, including any separate consent and acknowledgement, have been satisfied.
3. Your account and workspace
You use the Service through your SLSBMB AI workspace, signing in with single-use email links, passkeys or other methods we offer. You are responsible for all activity in your workspace, including activity by team members you invite, and for keeping your email account, devices, passkeys and sign-in links secure. We may treat any instruction given through your workspace as given by you. Tell us promptly at a@slsbmb.com if you believe your workspace has been accessed without your authority.
4. Free features, descriptions and changes
Free features may be limited, changed or withdrawn. The scope and price of a paid purchase are those stated in the order and purchase description accepted at checkout. Published examples, calculators, market estimates, reply-rate assumptions, capacity forecasts and target timelines illustrate the Service; they are not guarantees of a business result, exact audience size, inbox placement or completion date.
We may change features, methods, models, providers and infrastructure. Such changes do not remove our obligation to fulfil an accepted paid order or the remedies expressly provided in the Refund Policy. That policy also governs permanent discontinuation of a paid service. Data-processing and provider changes follow the Data Processing Terms.
5. Orders, prices and payment
You place an order when you complete checkout in SLSBMB AI, or accept a written order or invoice from us, and accept these Terms. We accept the order when we receive exact confirmation of the payment or, for orders paid with credits, when the credits are captured. Before acceptance we may refuse, cancel or limit any order for any reason, including legal, sanctions, fraud, payment, abuse, provider, capacity or reputation risk.
Prices are shown in US dollars at checkout. They do not include taxes, duties or bank, card, network or currency-exchange charges, which you bear. You must pay the full invoiced amount without deduction or set-off. Launch prices, sales and promotional codes apply only as shown at checkout and only to the order they were applied to; they may end or change at any time.
You can pay by card (including supported device wallets) through Airwallex, by crypto through NOWPayments under the Crypto Payment Terms, by bank wire to the details on your invoice, or with SLSBMB credits. Card details are entered only on the payment provider's pages. A payment counts only when we receive exact confirmation from the provider or our bank; a redirect or success screen is not payment. Work starts only after that confirmation.
All payments are final and non-refundable, except only as set out in the Refund, Cancellation and Suspension Policy, which also governs renewals, cancellation, non-payment and payment disputes.
6. SLSBMB credits
SLSBMB credits are prepaid units that can be used only to buy services from SLSBMB inside SLSBMB AI. One credit is priced at US$1.00 when you buy it. Credits are not money, electronic money, a deposit or a security; they earn no interest; they cannot be withdrawn, redeemed or exchanged for cash; and they cannot be sold, transferred or moved to another workspace. Credits are posted only after exact payment confirmation.
Some purchases first hold credits and settle later. A contact order, for example, holds its maximum price and captures only what is delivered, as set out in the Contact Sourcing and Suppression Policy; returning the unused part of a hold to your wallet is part of that settlement and is not a refund. Promotional, complimentary or adjusted credits have no cash value. Credits are non-refundable, including when your workspace is suspended, closed or terminated. We may reverse credits that were posted by mistake or funded by a payment that is reversed, disputed or charged back.
7. AI Outreach Playbook
AI Outreach Playbook is a one-time digital research product that our AI system prepares from your confirmed business brief and public sources. Once payment is confirmed the work starts automatically, and the order is fully performed when the playbook is published to your workspace. Audience sizes and market figures are modelled estimates, not purchased contacts and not promised results. Any restart, regeneration or revision offered inside SLSBMB AI is provided on the terms shown there and is your remedy for dissatisfaction with a delivered playbook. Technical non-delivery follows the Refund Policy. This provision does not remove an express confidentiality or data-protection obligation or a mandatory right.
8. Sending Engine
What it is. Sending Engine is a monthly service in which SLSBMB registers sending domains, creates mailboxes on our infrastructure, warms them up, finds and verifies contacts within your plan, sends the campaign emails prepared for your buyer segments on your behalf, and sorts replies into your workspace.
Your instructions to us. By buying Sending Engine you instruct and authorise SLSBMB to register sending domains for your campaigns, which may resemble your company or brand names; to create mailboxes using the sender names and identities you provide; to publish the related DNS records; to send campaign emails, follow-ups and warmup emails from those mailboxes in your name; to place your company name, your postal address and an unsubscribe mechanism in campaign emails; and to read, classify, route and act on replies, including suppressing addresses that opt out, object or bounce. Campaign emails are written by AI from your confirmed brief and published playbook and are sent automatically, without separate approval of each message. Your purchase authorises this automated operation for the campaign purposes and instructions you provide. You are responsible for the business offer, target criteria, jurisdictions, claims, sender identities and required restrictions, including corrections supplied through the Service. Our generation of content or selection of contacts under that mandate does not transfer your campaign responsibilities to us. You can review your campaigns and pause or resume them in your workspace. You must review the available campaign information and pause or correct activity you do not authorise. Choosing to use automatic sending without reviewing each message does not relieve you of those responsibilities. The Outbound Compliance Policy governs this mandate and campaign compliance.
The infrastructure belongs to SLSBMB. Sending domains, mailboxes, IP addresses, DNS configuration, warmup history, sender reputation and the related provider accounts are registered, held and controlled by SLSBMB or its providers and remain SLSBMB's property. While your Sending Engine is paid and active, you have a non-exclusive, non-transferable right to have them used for your campaigns. We do not transfer domains or mailboxes to you. When your Sending Engine ends, we may retire, park, let expire, recondition or reuse them, but we will not use a domain that resembles your brand to impersonate you. We may replace domains, mailboxes or IP addresses at any time.
Shared infrastructure and warmup. Your mailboxes may share IP addresses, servers and other infrastructure with mailboxes used for other SLSBMB customers, and they take part in our warmup network, which exchanges automated correspondence with other mailboxes on our network. Mail providers, blocklists and recipients make their own filtering decisions, and sender reputation can be affected by factors outside our control, including the conduct of other senders.
Service periods and timelines. Billing starts at payment. The first service period runs for one calendar month from the date the payment is confirmed and includes setup and about 21 days of warmup, so it carries fewer campaign emails than later months; each later period starts when the previous one ends. Timelines, such as first campaign emails around day 22, depend on warmup, provider acceptance, your inputs, available contacts and our launch checks. They are targets, not guaranteed dates. Capacity figures assume 22 sending weekdays at full capacity and three emails per contact. Included contacts are found as the actual sending calendar needs them, accounting for existing stock and remaining follow-ups. These figures are forecasts, not monthly purchase quotas. Follow-ups may carry into a later service period; contact purchases and campaign sends require an active paid service period.
9. AI Contacts
Contact searches, previews, holds, settlement and the use of delivered contacts are governed by the Contact Sourcing and Suppression Policy. Contact data comes from public web signals and third-party search and enrichment providers. It is not exclusive to you, it may also be delivered to other customers, and it is provided as is.
10. AI outputs and service explanations
The Service uses AI to interview you, research markets, estimate audiences, write emails, classify replies and draft responses. Outputs can be inaccurate, incomplete, outdated, inconsistent or unsuitable; similar outputs can be produced for others; and replies can be misclassified, missed or delayed. You are responsible for reviewing outputs and for decisions and messages made in your name.
AI output is research and drafting assistance, not legal, compliance, data-protection, tax, financial or other professional advice. PROXY can explain published service terms and point to relevant sources. It cannot sign an NDA, accept a contract variation, approve the legality of a campaign, or grant a refund, discount or additional service. A change to our agreement requires the acceptance process stated in section 22.
11. Your responsibilities
You are responsible for your materials, business brief, website, brands, sender identities, lists, instructions and restrictions, and for your authority to provide and use them. You are responsible for your campaigns' purposes, audiences, jurisdictions, offers, accuracy, claims and lawful use of contact data and AI outputs, including where those campaigns are prepared or operated automatically under your instructions. You must comply with applicable anti-spam, direct-marketing, privacy, data-protection, consumer-protection, employment and sanctions laws and the Acceptable Use Policy and Outbound Compliance Policy.
You warrant that you own or are authorised to use each name, brand and trademark requested for a campaign, domain or sender identity, and that each named sender is a real person who authorised that use. You must provide required permissions, notices, exclusions and corrections, retain appropriate evidence, and promptly report a campaign complaint or legal demand that affects the Service.
Suppression, unsubscribe handling, pacing, verification and technical launch checks support operation of the Service. They are not legal approval of your campaign and do not replace your responsibilities. Personal-data processing is governed by the Data Processing Terms. Section 16 preserves non-excludable liabilities.
12. Intellectual property and licences
SLSBMB and its licensors own the Service, including its software, methods, prompts, models, templates, know-how and improvements. You keep ownership of your materials and grant us a worldwide, royalty-free licence to use them to provide, operate, maintain, secure, support and improve the Service, subject to section 13 and the Data Processing Terms. We may use general know-how, learnings, and de-identified and aggregated information for those purposes. This licence does not authorise disclosure of your confidential information to another customer or processing of personal data outside the purposes and instructions permitted by the Data Processing Terms and applicable law.
You may use outputs delivered to you, including your brief, playbooks, emails and contact data, for your own business outreach once any price for them has been paid. You may not resell, publish or supply contact data or outputs to others as a data or research product. Information that can still identify a person remains personal data.
13. Confidentiality and customer references
Each party protects the other party's non-public information marked confidential or reasonably understood to be confidential in the circumstances. This includes non-public information supplied in the free PROXY interview, briefs, materials, campaigns and replies, and SLSBMB's non-public operating and security information.
The receiving party may use that information to perform, receive, operate, support, secure and improve the Service as permitted by section 12, or to exercise rights and comply with obligations under this agreement. It uses reasonable care, at least the care it uses for its own similar information. Disclosure is limited to personnel, professional advisers and service providers who need it for those purposes and are subject to appropriate confidentiality duties. Personal data remains subject to the Data Processing Terms and applicable law. Confidential customer information must not be disclosed to other customers through service improvements or otherwise.
These duties do not cover information the recipient can demonstrate was already lawfully known without a confidentiality duty, becomes public without breach, is lawfully received from another source without such a duty, or is independently developed. A legally required disclosure is limited to what is required; where lawful, the recipient gives reasonable notice and cooperation to seek protection, at the disclosing party's reasonable expense. These duties survive while the information remains confidential, subject to lawful retention and the Data Processing Terms. Liability remains subject to section 16 and mandatory law.
If you require a separate NDA, send your requirements or draft to a@slsbmb.com. A separate NDA takes effect only on authorised acceptance under section 22. These Terms do not represent that a separate NDA has already been signed.
We may name you as a customer and show your name, logo, website and a non-confidential description of the Service provided in our marketing. You may opt out by emailing a@slsbmb.com; we will stop new uses within a reasonable time. Publication of your confidential materials requires your permission.
14. Suspension and termination
We may suspend, restrict or terminate your access, any order, any campaign or any part of the Service immediately and without liability if you breach these Terms or a policy; if you fail to pay; if we suspect fraud, abuse, sanctions exposure or unlawful use; if your campaigns create complaint, deliverability, blocklisting, provider or reputation risk; if a provider, mail service, payment provider, registrar or authority requires it; or if continuing would expose SLSBMB, other customers or recipients to legal or operational risk. We may also end the Service or any part of it for any other reason by giving you notice.
You may stop using the Service at any time and can turn off automatic payments in SLSBMB AI under Billing. The financial consequences of suspension, termination and cancellation, including that paid amounts and credits are not refunded, are set out in the Refund, Cancellation and Suspension Policy. Return, deletion and retention of workspace data follow the Data Processing Terms and Privacy Notice. Export what you need before your access ends or contact us about return of data. Turning off a renewal or archiving a workspace is not itself a completed data erasure request.
15. No warranties
Except for our express obligations in this agreement and to the maximum extent permitted by law, the Service, all outputs and all contact data are provided "as is" and "as available", with all faults. We do not promise or warrant that the Service will be uninterrupted, timely, secure or error-free, or that it will produce any particular result, including replies, meetings, sales, hires, investment, deliverability, inbox placement, sender reputation, data accuracy or completeness, market size or the legal compliance of any campaign. All conditions, warranties and other terms that would otherwise be implied by statute, common law or otherwise, including as to quality, fitness for purpose, reasonable care and skill, time of performance and price, are excluded to the extent the law allows.
16. Limitation of liability
To the maximum extent permitted by law:
- SLSBMB is not liable, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise, for any loss of profit, revenue, sales, business, contracts, opportunity or anticipated savings; loss of goodwill or reputation; loss, corruption or disclosure of data; damage to sender, domain or IP reputation, blocklisting, deliverability or inbox-placement problems; failed, delayed, misdirected or misclassified emails or replies; recipient complaints; fines, penalties or regulatory action; claims by third parties; the cost of substitute services; business interruption; or any indirect, consequential, special, incidental, exemplary or punitive loss, even if that loss was foreseeable or we were told it was possible.
- SLSBMB's total liability for all claims arising out of or in connection with the Service, these Terms and all orders, taken together, is limited to the amount you actually paid to SLSBMB for the specific product giving rise to the claim during the three months before the event giving rise to the first claim, or US$100 if you paid nothing in that period.
- Nothing in this agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability that cannot lawfully be excluded or limited. Mandatory data-transfer terms and statutory data-subject rights prevail to the extent required by law.
16.1. Customer recourse for campaign claims
The exclusions and limits in this section also apply to claims by you for contribution, indemnity or reimbursement arising from a claim against you in connection with your campaigns. SLSBMB does not undertake to defend or indemnify you against campaign claims or fund your legal representation. The mandatory exceptions in this section apply.
16.2. Protected Persons and the shared limit
Each person protected by section 17 may rely on these exclusions and limits; the aggregate cap for claims under your agreement is shared by SLSBMB and the other Protected Persons and is not multiplied by the number of defendants, claimants, orders or legal theories. No director, officer, shareholder, employee or contractor personally guarantees SLSBMB's performance merely by acting for it. Any such guarantee requires that person's separate express written agreement. To the extent permitted by law, you will bring any claim arising out of or in connection with the Service or this agreement only against SLSBMB Limited, and not against any of its directors, officers, shareholders, employees or contractors personally, whether in contract, tort (including negligence), breach of statutory duty or otherwise. This does not apply to a claim against an individual for that individual's own fraud. The mandatory exceptions above apply to this paragraph.
16.3. Basis of the allocation
You agree that these limits are reasonable, taking into account the price of the Service, the nature of outreach and AI outputs, the risks you control, and steps such as reviewing outputs, pausing campaigns and obtaining your own legal advice or insurance.
Each exclusion of a category of loss, the aggregate liability cap and each limitation of a remedy is a separate allocation of risk. To the extent permitted by law, the remaining exclusions and limits continue to apply if another exclusion or remedy is unavailable or unenforceable, or a limited remedy fails to achieve its purpose.
17. Campaign claims, defence and indemnity
Your campaign claims. You are responsible for responding to and defending complaints, demands, investigations and proceedings concerning your campaigns, including claims brought against you, and for obtaining and paying for your own legal advisers. A claim, threatened claim or investigation does not itself entitle you to a refund, credit, reimbursement or defence from SLSBMB. The Refund Policy, section 16 and mandatory law continue to apply.
Protection of SLSBMB. To the maximum extent permitted by law, you will defend, indemnify and hold harmless SLSBMB Limited and its directors, officers, shareholders, employees, contractors and service providers, in their respective capacities connected with the Service (the "Protected Persons"), against claims, demands, complaints, investigations and proceedings brought by recipients, customers, competitors, authorities or other third parties arising out of or in connection with:
- your campaigns, emails, follow-ups, materials, offers, representations, target criteria, jurisdictions, instructions or restrictions;
- your use of the Service, AI outputs or contact data, including content generated, contacts selected and messages sent automatically under your campaign mandate;
- domains, brands or sender identities used at your request; recipient complaints; alleged infringement of rights; or alleged breach of marketing, communications, privacy, data-protection or other laws in connection with your outreach; or
- your breach of this agreement, unlawful use or failure to provide required instructions, permissions, exclusions or corrections.
This protection covers resulting losses, liabilities, damages, settlements approved under this section, and reasonable documented legal, expert, investigation, defence and enforcement costs. Fines and penalties are covered only where indemnification is lawful. Covered defence costs are payable as reasonably incurred; a claim need not succeed, and a breach by you need not first be established, for the duty to defend an otherwise covered claim to arise. The indemnity applies to the portion attributable to the covered matters, including a covered claim alleging error or negligence in generation or operation of the commissioned campaign. It does not require payment for fraud of a Protected Person, or for liability or costs that law prohibits allocating to you.
We give reasonably prompt notice and reasonable cooperation at your expense. A delay in notice reduces your obligation only to the extent it materially prejudices the defence. You must arrange a timely defence with competent counsel reasonably acceptable to us. We may participate with separate counsel at our expense; reasonable costs of separate counsel are covered where necessary because of a material conflict of interest, regulatory requirements or your failure to provide an adequate defence. We may take over a defence you fail to conduct, or take reasonably necessary urgent protective steps, with covered costs remaining payable under this section.
You may not settle a covered claim without our prior written consent if the settlement admits fault of a Protected Person, imposes a non-monetary obligation on one, fails to give the Protected Persons a full release, or requires payment by one. We will not unreasonably withhold consent to a settlement funded entirely by you that provides a full release and imposes no such admission or obligation. A settlement you make concerning a claim against you cannot bind SLSBMB or create a reimbursement obligation without our express written agreement. Nothing requires a party to obstruct lawful reporting, withhold required evidence or interfere with a regulator's powers.
Your obligations under this section survive termination and are not capped by the limitation of SLSBMB's liability in section 16. There is no double recovery. If a final determination or agreed allocation establishes that an amount paid for defence was outside this section, the parties account for and return that excess.
18. Events outside our control
We are not responsible for any failure or delay caused by events outside our reasonable control, including failures or decisions of mail providers, blocklists, registrars, DNS, hosting, AI, data, search or payment providers; internet, power or network failures; cyber-attacks; changes in law or provider policies; sanctions; government action; epidemics; war; or natural events. This does not remove express obligations to protect personal data, account for subprocessors or provide a remedy under the Refund Policy where those obligations apply.
19. Time limit for claims
To the extent permitted by law, you must notify any claim against SLSBMB or another Protected Person in connection with the Service in writing to a@slsbmb.com and bring it within one year after the facts giving rise to it occurred; otherwise it is waived. Non-excludable statutory limitation periods and mandatory data-transfer rights are unaffected.
20. Changes to these Terms
Each published pack has a version and effective date. We retain the version accepted for an order and make it available on request. A later publication does not rewrite that order's price, paid period, accrued rights or accepted allocation of liability. Current privacy notices describe current practices; a changed notice alone does not authorise a new processing purpose or change a contractual data-processing instruction.
A new version applies to new orders, renewals, credit top-ups and new free-service use after it takes effect. We give reasonable advance notice of material changes affecting ongoing use, except where an urgent legal or security requirement requires earlier action. We obtain renewed acceptance where required. If you do not agree, stop new use and turn off automatic payments before the next renewal. Provider and international-transfer changes follow the Data Processing Terms.
21. Governing law and disputes
Written claim first. Before bringing a claim arising out of or in connection with this agreement or the Service against SLSBMB or a Protected Person, you must send a written notice to a@slsbmb.com identifying your contracting business and the relevant workspace or order, the material facts, the obligation you say was breached, the remedy requested and the basis of any amount claimed, with the supporting records reasonably available to you. The parties will use reasonable, good-faith efforts to resolve the notified dispute for 30 days after SLSBMB receives the notice. This is an opportunity to investigate and, where appropriate, remedy the issue; it is not an admission, a promise of settlement or an additional refund, service-level or performance commitment.
This process does not prevent proceedings needed to preserve a claim before an applicable deadline, urgent interim relief, a legally protected report or complaint, the exercise of statutory data-protection or payment-provider rights, or SLSBMB's recovery of amounts due. It does not extend the time limit in section 19. After the 30 days, or earlier if SLSBMB states in writing that further discussion will not resolve the dispute, the claimant may proceed under the following provisions.
These Terms, every order and any dispute or claim arising out of or in connection with them, including non-contractual disputes or claims, are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction, except that SLSBMB may bring proceedings to recover amounts owed or to protect its rights in any court of competent jurisdiction. To the extent the law allows, claims may be brought only individually and not as a plaintiff or member in any class, collective or representative proceeding. If you bring proceedings in breach of this section, including in a court outside Hong Kong, you will pay SLSBMB's and each affected Protected Person's reasonable costs of having those proceedings stayed, transferred or dismissed, to the extent the law allows.
22. General
These Terms, the policies and your accepted orders are the entire agreement between you and SLSBMB about the Service and replace all earlier statements, proposals and understandings. You confirm that you have not relied on any statement, estimate or representation that is not expressly set out in them. If any provision is invalid or unenforceable, it applies with the minimum change needed to make it enforceable, and the rest continues in full force. We may assign or transfer our rights and obligations; you may not do so without our written consent. A delay or failure to enforce a right is not a waiver of it. Provisions that by their nature should survive the end of these Terms, including those on payment, credits, ownership, warranties, liability, indemnity, claims and governing law, survive. SLSBMB is an independent contractor. Its limited authority to send messages in your name under your campaign mandate does not create a partnership, joint venture, employment, fiduciary or general agency relationship, and SLSBMB owes no duties to you beyond those stated in this agreement or required by law. The Protected Persons are expressly identified as a class for the purposes of the Contracts (Rights of Third Parties) Ordinance (Cap. 623) and may enforce sections 15, 16, 17, 19 and 21 to the extent applicable to them. Except for those rights and rights under mandatory data-transfer clauses or law, a person who is not a party has no right to enforce these Terms. You and SLSBMB may vary or end this agreement without a Protected Person's consent, without releasing accrued obligations unless expressly agreed. We may send notices to the email address of your workspace; you can send notices to a@slsbmb.com. These Terms are written in English, and any translation is for convenience only. Electronic acceptance and electronic records are valid and binding where applicable law permits. An amendment or separate NDA must be expressly accepted by a representative authorised to bind SLSBMB. An AI conversation, generated brief, support explanation or unaccepted customer draft does not amend the contract. Additional or conflicting terms in a customer purchase order, procurement portal, questionnaire or other customer document do not become part of this agreement merely because SLSBMB acknowledges the document, accepts payment or provides the Service. They apply only where an authorised SLSBMB representative expressly accepts them in writing and identifies the provision being changed or added. This does not displace a separately accepted agreement under section 1 or mandatory data-transfer terms. This does not exclude liability for a representation where law does not permit its exclusion. The data-transfer instrument's required law, forum and third-party rights prevail for that instrument.
